1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Yellowpay Zambia platform, website, and services (collectively, the "Services") provided by Yellowpay Zambia ("Yellowpay," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Yellowpay Zambia provides a technology platform that enables businesses and individuals to accept and manage mobile money transactions. Our platform facilitates payment collection, wallet management, payout processing, and digital payment link generation. All payment transactions are processed through licensed and regulated third-party payment service providers. Yellowpay does not directly process, hold, or transmit regulated funds.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a resident of Zambia or have a registered business operating in Zambia
  • Provide accurate and complete registration information
  • Have the legal capacity to enter into a binding agreement

4. Account Registration and Security

When you register for an account, you agree to provide truthful, accurate, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services for any illegal, fraudulent, or unauthorized purpose
  • Violate any applicable local, national, or international laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to launder money, finance terrorism, or engage in any other financial crime
  • Provide false or misleading information in connection with your use of the Services

6. Payment Processing

All payment transactions facilitated through the Yellowpay platform are processed by licensed third-party payment service providers. Yellowpay acts solely as a technology intermediary and does not directly handle, process, or hold regulated customer funds. Transaction processing times, fees, and limits may be subject to the policies of our payment partners and applicable regulations.

7. Fees and Charges

Yellowpay may charge fees for certain Services. Any applicable fees will be clearly disclosed to you before you complete a transaction. We reserve the right to modify our fee structure with reasonable prior notice. Continued use of our Services after fee changes constitutes acceptance of the new fees.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Yellowpay Zambia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Yellowpay in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Yellowpay Zambia, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Any funds remaining in your account will be handled in accordance with our payout procedures and applicable regulations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Zambia.
